MindFrame End-User License Agreement And Terms Of Use
Effective Date: August 5, 2026
These End-User License Agreement and Terms of Use, referred to as the “Terms,” govern the installation and use of the MindFrame Focus & Billing desktop application, referred to as “MindFrame” or the “Application.”
MindFrame is owned and operated by JW Business Solutions, LLC, referred to as “we,” “us,” or “our.”
By installing, accessing, or using MindFrame, you agree to these Terms.
1. Internal Business Application
MindFrame is a privately developed Windows desktop application used solely for the internal business operations of JW Business Solutions, LLC and its authorized personnel.
MindFrame is not sold, licensed, distributed, or offered to the general public. It is not listed for public download through the QuickBooks App Store.
2. Purpose Of MindFrame
MindFrame is designed to support internal productivity and billing workflows, including:
- Tracking time spent performing business services
- Maintaining local time and billing records
- Reviewing time entries before submission
- Importing authorized customer, service, class, company, and related reference information from QuickBooks Online
- Creating manually reviewed TimeActivity records in an authorized QuickBooks Online company
- Maintaining separate QuickBooks Sandbox and Production profiles
- Providing focus audio and related productivity features
MindFrame is a workflow tool. It is not accounting, tax, legal, payroll, investment, medical, or financial advice.
3. License
We grant authorized users a limited, non-exclusive, non-transferable, and revocable license to install and use MindFrame solely for the internal business purposes described in these Terms.
This license does not transfer ownership of MindFrame, its source code, interface, documentation, branding, or intellectual property.
4. Authorized Use
MindFrame may be used only:
- By the owner or authorized personnel of JW Business Solutions, LLC
- On computers owned by or authorized for use by the business
- With QuickBooks Online companies the user is legally authorized to access
- For legitimate internal business purposes
- In compliance with applicable laws and Intuit’s terms and policies
The user is responsible for securing the computer, Windows account, Intuit account, QuickBooks company, and MindFrame data.
5. QuickBooks Online Connection
MindFrame connects to QuickBooks Online only after the user explicitly authorizes the connection through Intuit’s authorization process.
MindFrame may access only the QuickBooks information reasonably required to support its time-tracking and billing workflow, including:
- QuickBooks company name
- QuickBooks company or Realm ID
- Customers
- Products and services used for time entries
- Classes or related references when enabled
- Employee, vendor, or other name references used for TimeActivity records
- TimeActivity records created through MindFrame
MindFrame does not independently access bank accounts, credit card numbers, payment card data, payroll records, tax returns, or financial statements unless the Application is later intentionally modified to support those functions and these Terms are updated accordingly.
6. Sandbox And Production Use
MindFrame maintains separate QuickBooks Sandbox and Production profiles.
The user is responsible for:
- Confirming whether Sandbox or Production is active
- Selecting the correct QuickBooks company
- Confirming that Production is set as the default after testing is complete
- Reviewing imported customers and services
- Preventing test information from being treated as live business information
- Reviewing the active company and environment before syncing
MindFrame is designed to prevent Sandbox records from being submitted to a Production company and Production records from being submitted to Sandbox. The user must still confirm the displayed environment and company before every live synchronization.
7. Review Of Time And Billing Records
The user is responsible for reviewing each entry before it is submitted to QuickBooks Online.
This review should include:
- Customer
- Service
- Date
- Duration
- Billable duration
- Hourly rate
- Notes or description
- Class or related reference
- QuickBooks company
- Sandbox or Production environment
MindFrame is not a substitute for professional accounting review or normal bookkeeping controls.
After an entry is submitted to QuickBooks Online, QuickBooks should be treated as the authoritative source for the resulting QuickBooks record.
Changes made directly in QuickBooks may not automatically update the corresponding local MindFrame record.
8. No Automatic Reliance
MindFrame may contain safeguards such as manual review, profile separation, duplicate protection, audit information, and validation checks. These safeguards reduce risk but do not eliminate the possibility of:
- Incorrect data entry
- Incorrect customer or service selection
- Incorrect rates
- Duplicate or omitted records
- Synchronization errors
- Changes made directly in QuickBooks
- Third-party service interruptions
- Data loss caused by device failure or unauthorized access
The user remains responsible for reviewing and reconciling business records.
9. Local Data And Security
MindFrame is designed to store its primary operational information locally on the authorized Windows device.
This may include:
- Time and billing records
- Application settings
- Imported QuickBooks reference information
- Sync history
- Duplicate-prevention receipts
- Audit and revision information
- QuickBooks connection settings
Sensitive QuickBooks connection credentials and OAuth tokens are stored only on the authorized device and are protected using operating-system-supported secure storage where available.
The user is responsible for:
- Securing the device and Windows account
- Maintaining current operating-system and security updates
- Restricting access to authorized individuals
- Maintaining appropriate backups
- Protecting exported reports and files
- Removing local data when it is no longer required
- Disconnecting QuickBooks access when authorization is no longer appropriate
10. Privacy

The Privacy Policy is incorporated into these Terms by reference.
11. Prohibited Activities
The user may not:
- Use MindFrame to access a QuickBooks company without authorization
- Share QuickBooks credentials or OAuth tokens with unauthorized parties
- Circumvent Sandbox and Production separation controls
- Use MindFrame for unlawful, fraudulent, deceptive, or abusive activity
- Introduce malicious software or code
- Attempt to obtain another person’s or organization’s data
- Sell, sublicense, lease, distribute, or commercially offer MindFrame without written permission
- Remove ownership or copyright notices
- Reverse engineer or modify the Application except where applicable law expressly permits it
12. Third-Party Services
MindFrame depends on third-party products and services, including Microsoft Windows, Intuit, and QuickBooks Online.
Those services are governed by their own terms and privacy policies.
We do not control and are not responsible for:
- QuickBooks or Intuit outages
- Changes to Intuit APIs
- Changes to QuickBooks features or subscriptions
- Third-party security practices
- Third-party account suspensions
- Records changed or deleted directly in QuickBooks
- Loss of access caused by expired or revoked authorization
- Future incompatibility caused by third-party software changes
QuickBooks and Intuit are trademarks of Intuit Inc. MindFrame is independently developed and is not sponsored, endorsed, or operated by Intuit.
13. Updates
MindFrame may be updated to:
- Correct defects
- Improve security
- Add or modify features
- Maintain compatibility with Windows
- Maintain compatibility with QuickBooks Online or Intuit APIs
- Address legal, regulatory, or operational requirements
Features may be changed, suspended, or removed when reasonably necessary.
The user is responsible for installing supported versions and completing appropriate testing before relying on an updated version for live billing.
14. Ownership
MindFrame, including its software, design, interface, documentation, branding, and related materials, is owned by JW Business Solutions, LLC or its licensors.
Business records entered into MindFrame and QuickBooks data obtained through an authorized connection remain the property of their applicable owner.
No ownership rights are transferred under these Terms.
15. No Professional Advice
MindFrame does not provide:
- Accounting advice
- Tax advice
- Legal advice
- Payroll advice
- Investment advice
- Financial planning advice
- Medical or health advice
The user should consult an appropriately qualified professional when professional advice is required.
16. Disclaimer Of Warranties
To the fullest extent permitted by law, MindFrame is provided “as is” and “as available.”
We do not guarantee that MindFrame will:
- Operate without interruption or error
- Detect every incorrect or duplicate entry
- Prevent every loss of information
- Remain compatible with all future software versions
- Meet every accounting or recordkeeping requirement
- Automatically reconcile changes made directly in QuickBooks
- Replace independent review, bookkeeping controls, or professional judgment
Nothing in these Terms excludes any warranty or right that cannot legally be excluded.
17. Limitation Of Liability
To the fullest extent permitted by law, JW Business Solutions, LLC, its owners, employees, contractors, and representatives will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising from the use of or inability to use MindFrame.
This includes loss of:
- Data
- Revenue
- Profits
- Business opportunities
- Accounting records
- QuickBooks access
- Time records
- Productivity
- Third-party services
To the fullest extent permitted by law, total liability relating to MindFrame will not exceed $100.
Some jurisdictions do not permit certain limitations of liability, so portions of this section may not apply.
18. Backups And Record Retention
The user is responsible for maintaining appropriate backups and retaining records required for accounting, tax, audit, contractual, or legal purposes.
Uninstalling MindFrame may not automatically remove all local application data.
Disconnecting QuickBooks prevents future authorized access but does not automatically delete:
- Information already stored locally
- Information already submitted to QuickBooks
- Records QuickBooks is legally or operationally required to retain
The user should confirm that necessary records have been preserved before deleting local information.
19. Termination
These Terms remain effective until terminated.
The user may terminate use by:
- Disconnecting QuickBooks
- Discontinuing use of MindFrame
- Uninstalling the Application
- Removing locally stored MindFrame data when appropriate
We may suspend or terminate authorization to use MindFrame if it is used unlawfully, without authorization, or in a way that creates a material security, legal, or operational risk.
Sections concerning ownership, disclaimers, limitations of liability, data retention, and governing law survive termination.
20. Changes To These Terms
We may update these Terms to reflect changes to:
- MindFrame
- Its QuickBooks integration
- Security practices
- Applicable law
- Intuit requirements
- Internal business operations
The current version will be posted on this page with an updated effective date.
Continued use after an update constitutes acceptance of the revised Terms where permitted by law.
21. Governing Law
These Terms are governed by the laws of the State of North Carolina, without regard to conflict-of-law principles.
Any legal proceeding relating to these Terms will be brought in the applicable state or federal courts located in Buncombe County, North Carolina, unless applicable law requires otherwise.
